The term “we”, “us” and “our” refer to Ditra Point Solutions (“Company”)
The term “Platform(s)” refers to our websites (Not limited to cylastee.com, ditrapoint.com), social media channels (Not limited to facebook.com, instagram.com), and third party platforms such as Upwork, Google Play and Apple App Store.
On these Platforms, we provide information, products and services (“Service(s)”). The Services include website development, sales funnels, advertising and marketing (including search engine optimisation), application development, hosting and maintenance, automations and AI, the Website Subscription plan, packages that combine them, and the free website audit.
The term “user,” “customer,” “client,” “you,” and “your” refers to visitors, users and customers of the Platforms and/or Services.
By using our Platforms and/or Services, whether made available for purchase or not, you are agreeing to follow these Terms and Conditions (“Terms”), our Privacy Policy (Located here https://cylastee.com/privacy-policy), our Refund Policy (Located here https://cylastee.com/refund-policy) and any quotation, proposal or agreement we issue to you (Collectively, “Agreements”). You should not use our Platforms or Services if you do not agree with the terms and conditions contained in these Agreements.
Use of the platforms and services
To access or use the Platforms and/or Services, you must be 18 years or older and have the requisite power and authority to enter into these Terms, including the authority to bind the business you represent. Minors are prohibited from using the Platforms and/or Services.
Each time you access or use the Platforms and/or Services, you are agreeing to these Terms.
You may use the Platforms and/or Services for lawful purposes only. You agree to be financially responsible for all purchases made by you. You shall not post or transmit through the Platforms and/or Services any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, libellous, misleading, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, or which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law.
Any information you give us, including your name, business details, email address, username, password and access credentials, must be accurate, correct and up to date. You must not impersonate someone else or provide an email address other than your own.
Refusal of service
We reserve the right to refuse access to the Platforms and/or Services, or to decline any project or request, to any person or entity without the obligation to assign a reason for doing so. We reserve the right to immediately remove you from the Platforms and/or Services, without refund, if you violate these Terms or any other Agreement governing your use of the Platforms and/or Services.
Quotations, scope and acceptance
Every Service is provided on the scope set out in our quotation, proposal or invoice (“Quotation”). Prices published on our Platforms are starting prices in US dollars; the Quotation sets the price for your project.
A Quotation is accepted when you confirm it in writing (including by email, Upwork or a messaging tool) or pay the deposit or first invoice. Once accepted, the price is fixed for the agreed scope. This is our Fixed Quote: if the scope does not change, the number you said yes to is the number you pay.
Anything outside the agreed scope, including additional pages, features, integrations, content, revisions beyond those included, or changes requested after approval, is quoted separately before we begin that work. We will tell you what it costs before we do it, not after.
Fees and payment
One-off projects
Unless your Quotation states otherwise, website, funnel, landing page, app, automation and package builds are billed with a 50% deposit before work begins and the remaining 50% on launch or final delivery. One-off SEO work (such as a technical audit and fixes) is billed 50% on acceptance and 50% on completion. Longer app roadmaps may instead run as a monthly sprint retainer, as set out in your Quotation.
Work begins once the deposit has been received. Launch, final files and the handover of logins take place once the balance has been paid in full.
Monthly and recurring services
Hosting and maintenance plans, the Website Subscription, content SEO plans, advertising management and ongoing support or optimisation plans are billed monthly in advance unless your Quotation states otherwise.
Advertising management fees are a fixed monthly fee as set out in your Quotation. Your ad spend is paid by you directly to the advertising platform from your own account; we never hold it and never mark it up.
General
Invoices are payable by the due date stated on them. Accepted payment methods are stated on your invoice. If an invoice remains unpaid, we may pause work, suspend Services (including hosting) or withhold delivery until it is settled.
All prices are in United States dollars (USD) unless stated otherwise. Bank, transfer, currency conversion and payment platform fees charged on your side are your responsibility.
Deposits, refunds and cancellations
Deposits, refunds, project cancellations, client inactivity and our service guarantees are governed by our Refund Policy, which forms part of these Terms.
Monthly Services can be cancelled as set out under “Service terms” below. Cancellation takes effect at the end of the billing period in which notice is given, and fees already paid for that period are not refunded.
Your responsibilities
You are responsible for providing, on time, the content, images, logos, product information, feedback, approvals, account access and other materials we request. Project dates depend on receiving these, and most delays come down to content and feedback.
You confirm that you own, or have permission to use, everything you supply to us, and that it does not infringe anyone else’s rights or break any law. You are responsible for the accuracy of your content, prices, claims and offers, and for complying with the laws, privacy rules and advertising standards that apply to your business and your customers.
You are responsible for keeping your own passwords and access secure, and for the actions of anyone you give access to.
Revisions and approvals
The home page design of every website we build is revised until you are happy with it. Each package then includes the review and revision rounds stated on its pricing card or in your Quotation for the remaining pages and deliverables. Additional rounds can be added and are quoted before we start.
Approval of a design, page or deliverable, whether given in writing, verbally or by instructing us to proceed, confirms that stage. Changes requested after approval are treated as new work and quoted before we begin.
Ownership and intellectual property
One-off builds
For websites, funnels, landing pages and packages built as one-off projects, the website, its design, its content and its files become yours once the project has been paid for in full. We then hand over every login we hold for your website, together with a recorded walkthrough.
Apps and automations
For app development and automation work, the source code, designs and related intellectual property become yours once the project (or every completed milestone or sprint) has been paid in full. Everything is set up in accounts you own from the start.
Website Subscription
A Website Subscription is provided as a service. We own, host and maintain the website for as long as the subscription runs. Your domain name, and the content and materials you supply, always remain yours. At any time you may buy out the website for the buyout fee set out in your subscription agreement; on buyout, we provide a full export and the website is moved to hosting of your choice. If the subscription ends without a buyout, the website is taken offline.
What stays with us or third parties
We keep ownership of our own pre-existing tools, code libraries, templates, know-how and methods, and grant you a non-exclusive, perpetual licence to use them as part of your delivered project. Third-party items such as fonts, plugins, themes, stock images, software and platform subscriptions remain subject to their own licences, which may require ongoing fees paid by you.
Domains and accounts
Domain names are registered in your own name. Hosting (where not provided by us), funnel builder, email platform, advertising, analytics, payment gateway, app store and similar accounts are held in your name or your business’s name; we work in them with the access you grant, which you may revoke at any time.
Our portfolio
We may show the work we have done for you, including screenshots, your business name and a short description, in our portfolio, case studies and marketing, unless you ask us in writing not to.
Our platforms
The Platforms and/or Services contain intellectual property owned by the Company (“Company’s Intellectual Property”) and by third parties that licensed the content to us (“Third-Party Licensed Intellectual Property”), including, without limitation, trademarks, copyrights, proprietary information and other intellectual property as well as the business name, logo, all designs, text, videos, audio files, graphics, other files, and the selection and arrangement thereof, also termed the “look and feel.” You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the Platforms and/or Services, Company’s Intellectual Property and Third-Party Licensed Intellectual Property in whole or in part without our prior written consent.
Service terms
Website hosting and maintenance
Hosting and maintenance plans are priced per month and billed annually in advance on a 12-month minimum term, after which they continue month to month. After the minimum term you may cancel by telling us before your next billing date, and the plan ends at the end of the current billing period, with no termination fee. Onboarding is free for websites we build; a setup fee may apply to websites we did not build, as quoted. If you leave, we hand you a full backup and help you move.
We take daily backups and monitor uptime, but we do not guarantee uninterrupted availability of our hosting infrastructure providers. Our Hacked Website Guarantee applies to websites on an active hosting and maintenance plan: if your website is compromised while you are on the plan, we clean it and get it back up and running at no additional cost. The only exception is where you failed to keep your own access to the website secure (for example, credentials you shared or changes made by you or third parties).
Maintenance plans include the number of content update hours stated for each month. Unused hours do not roll over. Work beyond your plan’s hours is quoted before we go over.
Website Subscription
The Website Subscription is billed monthly in advance with no minimum term. It runs month-to-month and you may cancel at any time with 30 days’ written notice. Included monthly edits cover changes to existing content and small layout adjustments; new pages, sections or features are quoted separately. Unused edit time does not roll over.
Advertising management
The setup fee is a one-off charge. Ad spend is paid by you directly to the advertising platform from your own ad account, subject to the starting budget agreed before launch. Advertising management runs for a one-month minimum term, after which it continues month to month until cancelled before the next billing date.
Advertising platforms set their own policies and may reject, limit or suspend ads or accounts. We are not responsible for platform decisions, outages or changes to their rules, costs or algorithms.
Search engine optimisation
Ongoing SEO monitoring is provided on a monthly basis with a 3-month minimum term, and content SEO plans with a 6-month minimum term, after which they continue month to month until cancelled before the next billing date. Third-party tools and any ad spend are not included. Articles and other content we produce for you become yours once paid for.
Applications, automations and AI
App and automation projects are quoted on a fixed scope after discovery. Ongoing support and optimisation plans are billed monthly with a 3-month minimum term. Hosting, app store developer accounts, automation platform fees, AI model usage and any other third-party service costs are paid directly by you. AI assistants we build answer from the content you approve and hand over to a human for topics outside it; you remain responsible for reviewing their output and for how they are used with your customers.
Packages
Packages combine the Services above and follow the terms of each Service included, together with any minimum term, notice period, included hosting period or other conditions set out in your Quotation or on the package page.
Free website audit
The free website audit is a personal review of a website you own or are authorised to have reviewed, delivered by email, usually within 3–5 business days. It is provided for general guidance, without charge and without any obligation on either side. It is not a promise of results and does not create a client relationship until a Quotation is accepted.
Support after launch
Bug fixes and small text or image changes in the first 30 days after launch are included. After that, changes are covered by a hosting and maintenance plan, a support plan, or billed as ad hoc work.
Service guarantees
Some Services carry their own written guarantee, published on the relevant service page: the Ugly Design No Questions Asked Money Back Guarantee (website projects, during the home page design phase), the Lousy Developer No Questions Asked Money Back Guarantee (Elementor Development, the first page we develop), the Hacked Website Guarantee (hosting and maintenance plans) and the Fixed Quote. Where a service page states a guarantee, that guarantee applies in addition to, and prevails over, the general terms of these Terms and the Refund Policy. How each guarantee is claimed is set out in the Refund Policy.
Third-party services and fees
Our Services rely on third-party providers such as domain registrars, hosting infrastructure, funnel builders, email platforms, payment gateways, advertising platforms, app stores, AI and automation platforms and software vendors. Their fees, terms, availability and decisions are outside our control, and their charges are payable by you directly unless your Quotation states otherwise.
The Platforms and/or Services contain links to third-party websites and resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content or policies of third-party websites or resources. Links to such websites or resources do not imply any endorsement by or affiliation with the Platforms and/or Services. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
Affiliate links
From time to time, the Company may include affiliate links on its Platforms and/or Services. This means that if you purchase an item using an affiliate link, the Company may earn a commission. Affiliate links will be highlighted in some manner so as to disclose the affiliate relationship.
No guarantee of results
We will carry out the Services with reasonable skill and care. However, the Company may share the successful results of its users or customers on the Platforms and/or Services, and such examples are not to be interpreted as a promise or guarantee, verbally or in writing, regarding your results, future earnings, business profit, marketing performance, search rankings, traffic, leads, sales, return on ad spend, cost per lead, audience growth, or results of any kind.
By accessing the Platforms and/or Services, you accept, agree and understand that you are fully responsible for your progress and results from your participation. We do not guarantee that you will get any results using any of our ideas, tools, strategies or recommendations, and nothing in our Platforms and/or Services is a promise, warranty or guarantee to you of such results.
Errors, inaccuracies, and omissions
Information provided on the Platforms and/or Services, including our articles, resources and the free website audit, is provided for general guidance, is subject to change and is not professional, legal or financial advice. The Company makes no representation or warranty that the information provided, regardless of its source, is accurate, complete, reliable, current or error-free. The Company disclaims all liability for any inaccuracy, error or incompleteness in the provided information.
Confidentiality
We keep confidential any non-public information about your business that you share with us for a project, and use it only to provide the Services. This does not apply to information that is already public, that you have agreed we may show in our portfolio, or that we are required by law to disclose.
Limitation of liability
To the extent permitted by law, WE WILL NOT be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of data, revenue, profits, business or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if we’ve been advised of the possibility of damages in advance. Our liability to you or any third parties under any circumstance is limited to the greater of one hundred US dollars (USD 100) or the amount you have paid us for the Service concerned in the twelve (12) months before the event giving rise to your claims.
Indemnification
You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees, arising out of any breach by you of any of these Terms, any content or materials you supply, or any use by you of the Platforms and/or Services in breach of any law or third-party right. You shall provide us with such assistance, without charge, as we may request in connection with any such defence, including, without limitation, providing us with such information, documents, records and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defence without our prior written consent.
Suspension and termination
We may suspend or end a Service if you breach these Terms, fail to pay an invoice when due, or use a Service unlawfully. Termination does not affect fees already due. Clauses that by their nature should continue, including ownership, payment, confidentiality, limitation of liability and indemnification, survive termination.
Governing law
These Terms shall be governed by the laws of Malaysia.
Dispute resolution
If a dispute, claim or controversy arises out of or relates to these Terms, both parties will first try to resolve it in good faith by discussion. If it is not resolved within 30 days, either party may refer it to a mutually agreed-upon mediator in Malaysia. Any costs and fees other than attorney fees associated with the mediation will be shared equally by the parties. If the dispute is not resolved within 60 days after it is referred to the mediator, any party may take the matter to court.
If any legal action, arbitration or other proceeding is brought for the enforcement of these Terms, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of these Terms, the successful or prevailing party or parties shall be entitled to recover reasonable attorneys’ fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
General provisions
Entire agreement. These Agreements (i.e., these Terms, along with the referenced Privacy Policy and Refund Policy, your Quotation and any other written agreement that governs your use of our Platforms and/or Services) constitute the entire agreement between you and the Company with respect to the Platforms and/or Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written. If these Terms conflict with your Quotation, the Quotation prevails for that project.
Waiver. The Company’s waiver of any of the provisions of these Terms shall not be deemed, nor shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by an authorised representative of the Company.
Severability. If any term, provision, covenant, or condition of these Terms is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of these Terms shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
Assignment. These Terms bind and inure to the benefit of the parties’ successors and assigns. These Terms are not assignable, delegable, sub-licensable or otherwise transferable by you without our written consent. Any transfer, assignment, delegation or sublicense by you without that consent is invalid.
Effect of headings. The subject headings of the paragraphs of these Terms are included for convenience only and shall not affect the construction or interpretation of any of its provisions.
